VinVaults Terms of Use

VinVaults ("we," "us," or "our") owns and operates vinvaults.com and other sites linking to these Terms of Use (individually, the "Site", and collectively, the "Sites"). Through the Sites, VinVaults provides various offerings, information, and resources related to the products and services available on our Sites (each a "Service" and collectively, the "Services"). References to the Sites include the Services.

VinVaults may change, suspend, modify, or discontinue all or any part of the Sites in its sole discretion with or without notice. VinVaults is not liable if all or any part of a Site is, for any reason, unavailable at any time or for any period. VinVaults reserves the right to block or deny access to any of the Sites to anyone at any time for any reason. VinVaults is not obligated to correct or update any information or content on the Sites.

General Terms

These terms of use (together with any additional terms, as described below) ("Terms of Use") are an agreement between VinVaults and the individuals that use the Sites (or the parent/legal guardian of any such individuals under the age of 18) ("users," "you," or "your"). The Terms of Use govern your access to and use of the Sites. Subject to your full and ongoing compliance with these Terms of Use, VinVaults hereby grants you a limited and revocable right to access and use the Sites, solely for their intended purposes. If you use or access the Sites on behalf of a business or other entity, you must have authority to bind that business/entity. In such case, the term "you" includes the business/entity and any of its agents that use or access the Sites. By using or accessing the Sites, you represent and warrant that you are of legal age to accept these Terms of Use and form a binding contract with VinVaults.

IF YOU ARE UNDER THE AGE OF 18 (A MINOR), YOUR PARENT OR LEGAL GUARDIAN MUST READ AND CONSENT TO THE TERMS OF USE BEFORE YOU USE THE SITES. BY PERMITTING A MINOR TO USE THE SITES, THE MINOR'S PARENT OR GUARDIAN BECOMES SUBJECT TO THE TERMS OF USE AND AGREES TO BE RESPONSIBLE FOR THE MINOR'S ACTIVITIES ON THE SITES.

We may now or in the future offer multiple platforms (the "VinVaults Platforms") through our Sites for use in accessing our Services. To use the Platforms, you must adhere to any additional terms and conditions specific to each Platform, as identified below and/or presented to you at the time you use the Platforms. Certain offerings on the Sites may be free of charge or offered for a fee, and we reserve the right to change what Services are offered free of charge or for a fee, and the fees charged for any given Service.

PLEASE READ THE TERMS OF USE CAREFULLY. BY ACCESSING ANY PAGES ON THE SITES; CREATING AN ACCOUNT; USING ANY SERVICES MADE AVAILABLE THROUGH THE SITES; POSTING, SUBMITTING, TRANSMITTING, OR UPLOADING ANY INFORMATION OR CONTENT THROUGH THE SITES; OR USING ANY PLATFORM, YOU EXPRESSLY AGREE THAT YOU, OR YOUR PARENT OR LEGAL GUARDIAN FOR USERS UNDER THE AGE OF 18, HAVE READ, UNDERSTAND, AND AGREE TO THE TERMS OF USE AND ANY APPLICABLE POLICIES AND DISCLAIMERS REFERENCED HEREIN OR ON THE SITES. DO NOT USE THE SITES IF YOU DO NOT AGREE TO THE TERMS OF USE AND ALL APPLICABLE POLICIES AND DISCLAIMERS.

Changes to the Terms of Use

As stated above, VinVaults reserves the right to update or modify the Terms of Use at any time, with or without prior notice. Any such changes will become effective upon the earlier of (i) the first time you use the Sites or Services with actual notice of the change(s), or (ii) 30 days after the change(s) are publicly posted on the Sites. Disputes arising under these Terms will be resolved in accordance with the version of the Terms of Use in place at the time the dispute arose. We use reasonable efforts to ensure that the Terms of Use identify the last date of update.

In the case of material changes to the Terms, VinVaults will make reasonable efforts to notify you of the change, such as by sending an email to any address we have on file, displaying a pop-up window on the Sites, or other similar mechanism. We encourage you to review the Terms of Use frequently to stay informed of any changes.

Account Access and Security

You may be required to register and create an account to access some content and functionality on the Sites and/or Platforms. You may be required to provide personal information, such as an email and password, to create an account, as described in our Privacy Notice.

You are responsible for maintaining the confidentiality of your account, password, and other information. By creating an account, you agree that such account is intended for your use only, and you agree not to allow any other person to access it. You agree to notify VinVaults immediately if you become aware of any unauthorized access to or use of your account. You may be required to log out from your account at the end of each session. You should use caution when accessing your account from a public or shared computer so that others are not able to view or access your information. VinVaults may disable an account at any time in its sole discretion. Circumventing account access controls may be a violation of law.

Any information you provide to VinVaults must be correct, current, and complete. Our use of your information is governed by our Privacy Notice. By providing us with personal information, you consent to our use of such information as described in our Privacy Notice.

User Content

The Sites may now or in the future contain Services that use information you have provided to VinVaults and that allow you and others to post, submit, publish, display, or otherwise transmit ("post") various information and materials ("User Content"), which may include answers in response to questions, comments, documents, and other similar content. Other than personally identifiable information that you provide to us and except as expressly provided in these Terms of Use or the policies applicable to any VinVaults Platform, User Content is and will be considered non-confidential and non-proprietary. You retain ownership rights in and to your User Content, and by posting User Content to the Sites, you hereby grant VinVaults an unrestricted, non-exclusive, perpetual, royalty-free, worldwide, transferable, sublicensable, and irrevocable license and right, but not an obligation, to use, edit, alter, copy, reproduce, disclose, display, publish, prepare derivative works from, perform, market, distribute, exhibit, broadcast, or otherwise use such User Content and derivatives thereof, in whole or in part, and in any form, media, or technology now known or hereafter developed.

VinVaults is under no obligation to use, return, review, or respond to User Content. You understand and acknowledge that you are responsible for any User Content you post. By providing User Content, you represent and warrant that: (a) you own or control all rights in and to such User Content, (b) you have the right to grant VinVaults the license to such User Content that is described above, and (c) the User Content you provide does and will comply with these Terms of Use, including the Content Standards below. You have full responsibility for such content, including its legality, reliability, accuracy, and appropriateness, as further explained in the Content Standards .

Reliance on Posted Information

The Sites may include content provided by persons or entities other than VinVaults ("third parties"). Other than content provided by VinVaults, all statements and/or opinions expressed, including all articles, responses to questions, and other content are solely the opinions and the responsibility of the party providing those materials. VinVaults is not responsible for the content of any materials provided by third parties, and VinVaults does not warrant the accuracy, completeness, or reliability of any such information. Information provided by VinVaults on the Sites is informational only. VinVaults does not guarantee the accuracy of information provided on the Sites.

Content Standards

You agree that you will not post any User Content that (a) infringes on or violates any intellectual property rights, (b) fails to comply with applicable laws and regulations, or (c) contains any expressions of hate, abuse, offensive images or conduct, or any similar content. Without limiting the foregoing, User Content must not:

  • contain any defamatory, libelous, slanderous, obscene, indecent, abusive, offensive, harassing, violent, hateful, inflammatory, sexually explicit, pornographic, or otherwise objectionable (as determined by VinVaults in its sole discretion) material;
  • promote violence or discrimination based on race, ethnicity, sex, religion, nationality, disability, sexual orientation, gender identity, or age;
  • violate any person's or entity's legal rights (including intellectual property rights, moral rights, and rights of publicity and privacy);
  • impersonate any person or entity;
  • misrepresent your identity or affiliation or the identity or affiliation of any other entity;
  • appear as if it is posted by or endorsed by VinVaults or any other person or entity, if this is not the case;
  • be likely to or designed to deceive any person or entity;
  • contain any material that is unlawful or could result in civil or criminal liability;
  • incite, advocate, promote, contribute to, enable, or assist any illegal or unlawful activity;
  • involve commercial activities or sales, such as contests, sweepstakes, and other sales promotions, barter or advertising, other than as conducted by VinVaults in its operation of the Sites; or
  • conflict with these Terms of Use or any other applicable law or policy.

Governing Law and Jurisdiction

You agree that all matters relating to the Sites and these Terms of Use and any dispute or claim arising therefrom or related thereto (in each case, including non-contractual disputes or claims), shall be governed by and construed in accordance with the internal laws of the State of Wisconsin without giving effect to any choice or conflict of law provision or rule (whether of the State of Wisconsin or any other jurisdiction).

The Sites display links to third-party retailers, including but not limited to AutoZone, O'Reilly Auto Parts, Advance Auto Parts, RockAuto, Amazon, and eBay Motors (collectively, “Retailers”). When you click a retailer link, you may be directed to that Retailer's website — either to a search results page or to a homepage with a search query pre-filled in their search bar — based on the part name and vehicle information you provided.

VinVaults is not affiliated with, endorsed by, or sponsored by any of these Retailers. We do not have a commercial relationship with any Retailer, and we do not receive compensation when you click a retailer link or make a purchase. Retailer names, logos, and trademarks are the property of their respective owners.

Retailer links are provided as a convenience only. VinVaults makes no representations or warranties regarding the accuracy, availability, pricing, or fitness for purpose of any parts or products listed on Retailer websites. Part compatibility suggestions generated by VinVaults are informational estimates only and may not reflect actual fitment. You are solely responsible for confirming part compatibility, pricing, availability, and all other purchase details directly with the Retailer before completing any transaction.

VinVaults is not responsible for the content, policies, or practices of any Retailer website. Your use of any Retailer website is governed solely by that Retailer's own terms of use and privacy policy.

Disclaimer of Warranties

THE SITES AND ALL CONTENT, SERVICES, INFORMATION, MATERIALS, AND FEATURES AVAILABLE THROUGH THE SITES ARE PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, VINVAULTS EXPRESSLY DISCLAIMS ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

WITHOUT LIMITING THE FOREGOING, VINVAULTS DOES NOT WARRANT THAT:

  • THE SITES OR SERVICES WILL MEET YOUR REQUIREMENTS OR BE AVAILABLE ON AN UNINTERRUPTED, SECURE, OR ERROR-FREE BASIS;
  • ANY VEHICLE IDENTIFICATION NUMBER (VIN) DECODING RESULTS, PART COMPATIBILITY SUGGESTIONS, OEM SPECIFICATIONS, TORQUE SPECIFICATIONS, RECALL DATA, OR OTHER AUTOMOTIVE INFORMATION PROVIDED THROUGH THE SITES ARE ACCURATE, COMPLETE, CURRENT, OR FIT FOR ANY PARTICULAR VEHICLE OR PURPOSE;
  • ANY DEFECTS OR ERRORS IN THE SITES OR SERVICES WILL BE CORRECTED; OR
  • THE SITES OR THE SERVERS THAT MAKE THEM AVAILABLE ARE FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS.

ALL AUTOMOTIVE DATA, PART FITMENT INFORMATION, AND AI-GENERATED TROUBLESHOOTING SUGGESTIONS ARE PROVIDED FOR INFORMATIONAL PURPOSES ONLY. VINVAULTS MAKES NO WARRANTY THAT SUCH INFORMATION IS SUITABLE FOR USE IN CONNECTION WITH ANY SPECIFIC VEHICLE REPAIR, MAINTENANCE, OR PARTS PURCHASE. YOU ASSUME ALL RISK ARISING FROM YOUR RELIANCE ON ANY INFORMATION OBTAINED THROUGH THE SITES.

Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT WILL VINVAULTS, ITS OWNERS, OFFICERS, EMPLOYEES, AGENTS, LICENSORS, OR SERVICE PROVIDERS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO:

  • LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR OTHER INTANGIBLE LOSSES;
  • COSTS OF PROCURING SUBSTITUTE GOODS, SERVICES, OR TECHNOLOGY;
  • PERSONAL INJURY, PROPERTY DAMAGE, OR VEHICLE DAMAGE ARISING FROM RELIANCE ON PART FITMENT SUGGESTIONS, TORQUE SPECIFICATIONS, OEM DATA, OR AI-GENERATED TROUBLESHOOTING ADVICE PROVIDED THROUGH THE SITES;
  • PURCHASE OF AN INCORRECT OR INCOMPATIBLE PART BASED ON INFORMATION OBTAINED THROUGH THE SITES; OR
  • ANY UNAUTHORIZED ACCESS TO OR USE OF OUR SERVERS OR ANY PERSONAL INFORMATION STORED THEREIN,

WHETHER BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE), STRICT LIABILITY, OR ANY OTHER LEGAL THEORY, AND WHETHER OR NOT VINVAULTS HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

IN NO EVENT WILL VINVAULTS'S TOTAL CUMULATIVE LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OF USE OR YOUR USE OF THE SITES EXCEED THE GREATER OF (A) THE TOTAL AMOUNT YOU PAID TO VINVAULTS IN THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR (B) ONE HUNDRED U.S. DOLLARS ($100.00).

SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF CERTAIN DAMAGES. IF THESE LAWS APPLY TO YOU, SOME OR ALL OF THE ABOVE EXCLUSIONS OR LIMITATIONS MAY NOT APPLY, AND YOU MAY HAVE ADDITIONAL RIGHTS.

Indemnification

You agree to defend, indemnify, and hold harmless VinVaults and its owners, officers, employees, agents, licensors, and service providers from and against any and all claims, liabilities, damages, judgments, awards, losses, costs, expenses, and fees (including reasonable attorneys' fees) arising out of or relating to:

  • your violation of these Terms of Use;
  • your use of the Sites or Services;
  • any User Content you post, submit, or transmit through the Sites;
  • your reliance on any part fitment suggestion, OEM specification, torque specification, or AI-generated troubleshooting advice obtained through the Sites; or
  • your violation of any applicable law or the rights of any third party.

VinVaults reserves the right to assume the exclusive defense and control of any matter subject to indemnification by you, in which case you agree to cooperate with VinVaults in asserting any available defenses.

Intellectual Property

The Sites and their entire contents, features, and functionality — including but not limited to all text, graphics, logos, icons, images, audio clips, data compilations, software, VIN decoding results, part compatibility data, and the selection and arrangement thereof — are owned by VinVaults, its licensors, or other providers of such material and are protected by United States and international copyright, trademark, patent, trade secret, and other intellectual property laws.

“VinVaults,” the VinVaults logo, and all related names, logos, product and service names, designs, and slogans are trademarks of VinVaults. You may not use such marks without the prior written permission of VinVaults. All other names, logos, product and service names, designs, and slogans on the Sites are the trademarks of their respective owners.

You are granted a limited, non-exclusive, non-transferable, revocable license to access and use the Sites for your personal, non-commercial use only. You must not reproduce, distribute, modify, create derivative works of, publicly display, publicly perform, republish, download, store, or transmit any of the material on the Sites, except as follows:

  • Your computer may temporarily store copies of such materials in RAM incidental to your accessing and viewing those materials.
  • You may store files that are automatically cached by your web browser for display enhancement purposes.
  • You may print or download one copy of a reasonable number of pages of the Sites for your own personal, non-commercial use and not for further reproduction, publication, or distribution.

You must not access or use for any commercial purposes any part of the Sites or any services or materials available through the Sites without our prior written consent.

Termination

VinVaults reserves the right, in its sole discretion and without notice or liability, to suspend, restrict, or terminate your access to all or any part of the Sites and Services at any time and for any reason, including but not limited to your violation of these Terms of Use, conduct that VinVaults determines to be harmful to other users or to VinVaults, or any other reason VinVaults deems appropriate.

You may terminate your account at any time by contacting us at support@vinvaults.com. Upon termination, your right to use the Sites and Services will immediately cease.

All provisions of these Terms of Use that by their nature should survive termination shall survive, including without limitation ownership provisions, warranty disclaimers, indemnification obligations, and limitations of liability.

Dispute Resolution

Informal Resolution. Before filing any formal legal claim, you agree to contact VinVaults at support@vinvaults.com and provide a written description of the dispute, the relief sought, and your contact information. You and VinVaults agree to attempt to resolve the dispute informally for at least thirty (30) days before initiating any formal proceeding.

Binding Arbitration. If the parties cannot resolve a dispute informally, any dispute, claim, or controversy arising out of or relating to these Terms of Use or the Sites — including questions of arbitrability — shall be resolved by binding arbitration administered by the American Arbitration Association (“AAA”) under its Consumer Arbitration Rules, except as modified herein. The arbitration shall be conducted in English. The arbitrator's award shall be final and binding and may be entered as a judgment in any court of competent jurisdiction.

Venue. To the extent any claim is not subject to arbitration, you agree that any legal action or proceeding shall be brought exclusively in the state or federal courts located in Wisconsin, and you hereby consent to the personal jurisdiction and venue of such courts.

Class Action Waiver. YOU AND VINVAULTS AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, CONSOLIDATED, OR REPRESENTATIVE ACTION OR PROCEEDING. If a court decides that applicable law precludes enforcement of this waiver as to any claim or request for relief, then that claim or request for relief shall be severed from the arbitration and may be litigated in court, while the remaining claims proceed in arbitration.

Exceptions. Nothing in this section shall prevent either party from seeking injunctive or other equitable relief in any court of competent jurisdiction to prevent actual or threatened infringement, misappropriation, or violation of a party's intellectual property rights.

General Provisions

Entire Agreement. These Terms of Use, together with our Privacy Policy and any other policies or agreements expressly incorporated herein, constitute the entire agreement between you and VinVaults with respect to the Sites and supersede all prior and contemporaneous understandings, agreements, representations, and warranties, both written and oral, regarding the Sites.

Severability. If any provision of these Terms of Use is held by a court or arbitrator of competent jurisdiction to be invalid, illegal, or unenforceable for any reason, such provision shall be modified to the minimum extent necessary to make it enforceable, or if it cannot be so modified, it shall be eliminated from these Terms of Use, and the remaining provisions shall continue in full force and effect.

Waiver. No failure or delay by VinVaults in exercising any right or remedy under these Terms of Use shall operate as a waiver of that right or remedy. No single or partial exercise of any right or remedy shall preclude any other or further exercise of that right or remedy or the exercise of any other right or remedy.

Assignment. You may not assign or transfer any of your rights or obligations under these Terms of Use without VinVaults's prior written consent. VinVaults may freely assign or transfer these Terms of Use without restriction. These Terms of Use inure to the benefit of and are binding upon the parties and their respective permitted successors and assigns.

No Third-Party Beneficiaries. These Terms of Use do not and are not intended to confer any rights or remedies upon any person other than you and VinVaults.
